SUPREME COURT OF THE RUSSIAN FEDERATION: A FINE FOR FALSIFYING CASE LAW PRECEDENTS MAY ALSO BE IMPOSED PERSONALLY ON A PARTY'S REPRESENTATIVE
In the course of the bankruptcy proceedings involving a citizen, the Supreme Court of the Russian Federation, when considering a dispute concerning the completion of the procedure for the sale of the debtor’s property and his release from further performance of creditors’ claims, concluded that one of the bankruptcy creditors was abusing his procedural rights by deliberately delaying the completion of the proceedings.
The creditor’s bad-faith conduct was manifested, in particular, in initiating a significant number of separate disputes, failing to submit his legal position and available evidence to the court and other participants in the proceedings in a timely manner, inconsistent procedural conduct, and other similar forms of conduct. As a result, the bankruptcy proceedings, which were not particularly financially complex, were unjustifiably prolonged for several years.
One instance of the creditor’s improper conduct consisted in the fact that, in his representative’s response to the debtor’s cassation appeal, which had been submitted directly to the Supreme Court of the Russian Federation, the representative, in support of his position, referred to a non-existent item of a Resolution of the Plenum of the Supreme Court of the Russian Federation on bankruptcy matters.
The Supreme Court of the Russian Federation concluded that it was necessary to consider the imposition of a judicial fine on the creditor for deliberately delaying the bankruptcy proceedings, as well as a separate fine on his representative personally for contempt of court, which consisted in falsifying judicial practice in the procedural documents prepared by him.

SIMPLIFYING SECURITIES ISSUANCE: BANK OF RUSSIA OUTLINED KEY AREAS OF REGULATORY CHANGES

A major set of changes will affect bond issuance. The greatest relief will be provided to experienced issuers securities of which are already traded on an exchange, provided that they comply with disclosure requirements. They are proposed to be exempted from preparing and registering a bond prospectus; instead, they will only be required to publish the principal terms of the offering in a concise form so that investors can familiarise themselves with them. For first-time issuers entering the debt market without shares traded on an exchange, the existing admission requirements will remain in place.

The Bank of Russia proposes to transfer its functions for registering issues of structured bonds with standard terms to exchanges where the securities are offered on an organised market, and to depositories and registrars where they are offered over the counter. The regulator will retain responsibility only for more complex issues that do not fit within the standard parameters.
The second set of changes concerns the equities market. Non-public joint-stock companies with no more than 50 shareholders will no longer be required to register share issues; it will be sufficient to keep a record of securities with the registrar.

The review formulates legal positions on exercising and enjoying property rights, the fulfilment of contractual obligations, the protection of social and labour rights, the application of procedural norms, corporate law provisions, the recognition of transactions as invalid, the handling of municipal solid waste, and the protection of personal data. Issues of intellectual property, taxation, classification of certain crimes, etc. are touched upon. In particular, the following is stated.

When determining the right to receive a monthly benefit in connection with the birth and upbringing of a child, the applicant's spouse may be considered a member of his or her family only from the date of state registration of their marriage. The income of this spouse can be taken into account when calculating the average per capita family income only from this date.
From the date of recognition of a citizen as bankrupt, registration of the transfer of exclusive rights to a trademark in the absence of an application from the financial manager is not permitted.

Banks have been advised to pay closer attention to transactions involving large cash deposits made by customers where the funds may be intended for money laundering or other illicit purposes.

Credit institutions are encouraged to conduct daily monitoring of customer transactions, focusing in particular on specific risk indicators. For example, red flags may arise where an individual deposits at least RUB 5 million in cash into an account within a 30-day period and subsequently transfers at least 70% of those funds abroad within 10 days. Another example involves a company or sole proprietor depositing RUB 30 million or more in cash within 30 days, where the amount significantly exceeds the account's average monthly turnover over the preceding three months.
Banks may classify such transactions as suspicious or refuse to process them. They are also expected to carefully review documents provided by customers to verify the source of the cash funds and avoid a purely formal approach to assessing such documentation.
The measures will not apply to individual customers for whom the bank possesses documented information confirming their financial standing, business reputation, and the source of their funds.

The Bank of Russia has amended its instructions governing the submission of supporting documents and information by residents and non-residents to authorised banks when conducting foreign exchange transactions, as well as the standardised reporting and record-keeping forms for such transactions and the procedures and deadlines for their submission.

The requirements to submit documents and information relating to cash settlements to an authorised bank have been extended to residents that are parties to foreign trade contracts or loan agreements. These requirements are also applied where cash is received from, or transferred to, a non-resident by a resident who is not a party to the relevant foreign trade contract or loan agreement.
The amendments also clarify the procedure for residents to submit documents and information relating to transactions involving digital rights, as well as supporting documents for registered contracts and loan agreements.

TERMINALS AND ATMS OF ALL BANKS WILL POSSIBLY OPERATE DURING PERIODS OF MOBILE INTERNET RESTRICTIONS

The Bank of Russia has proposed that the Ministry of Digital Development, Communications and Mass Media consider the possibility of ensuring the operability of payment terminals and ATMs of all credit institutions during periods of restricted access to the mobile Internet, as well as extending guaranteed Internet access to remote banking services for non-cash transactions, in particular, for accepting non-cash payments (at least for services requiring real-time access).

From January 1, 2027, the details intended for entering records about children under 14 years of age are planned to be removed from the forms of international passports, as well as diplomatic and service passports.

As the authors of the amendments explain, the presence of a record about a child in the parents' passport, as a general rule, does not give the child the right to travel outside the country without his/her own foreign passport, unless otherwise provided by international treaties with certain states. Thus, for the majority of citizens, such an option is not relevant.
In addition, it is noted that the technical possibility of entering records about children into new generation passports has not yet been implemented.
Due to these amendments, the state fee for entering the relevant information into a foreign passport (currently 500 roubles) will be waived.

LAW BANNING PROBATIONARY EMPLOYMENT PROCEDURES FOR WOMEN WITH CHILDREN UNDER 3 YEARS OF AGE HAS BEEN SIGNED

From September 1, 2026, it will not be allowed to set a probationary period for women with children under three years of age when applying for a job. Currently, this ban only applies to women with children under one and a half years old.

Formally, the amendment expands the current guarantee. In essence, it eliminates the inconsistency between Articles 70 and 261 of the Labour Code of the Russian Federation. Until now, the probationary period was only prohibited for women with children under one and a half years old, while the ban on dismissal at the employer's initiative already extended to women with children under three years old. Because of this, a probationary period for women with children from one and a half to three years old could formally be included in an employment contract, although its practical significance remained questionable.

THE PROCEDURE FOR PAYING THE ACTUAL VALUE OF A SHARE IN AN LLC HAS BEEN CLARIFIED
The Law on Limited Liability Companies establishes a rule that in the event of disagreement between the person to whom the actual value of a share (part of a share) in the authorised capital of the company, or the company itself, with the determination of the value of net assets based on the financial statements, the valuation of such assets is carried out based on their market value. This concerns cases of withdrawal or exclusion of a participant from the company, as well as some other situations when a share in the authorised capital is transferred to the company.
An application for the specified method of valuation shall be submitted by the relevant participant or company before the expiry of the period for payment of the actual value of the share. The applicant also engages an appraiser, unless otherwise provided by the company's charter.
If, before the expiry of the period for payment of the actual value of the share, its market valuation has not been carried out or there are disagreements between the parties, the company must pay the value of the share in accordance with the general rules - that is, on the basis of the financial statements - with subsequent recalculation taking into account the market value of the share.
It is also envisaged that the option of assessing a share at market value may be enshrined in the company’s charter by default. A similar mechanism can be applied in the event of foreclosure on a share at the request of the participant’s creditors.
